RE: Legal Proceedings Regarding Civil Claim – Tove Eats Ltd vs. VCBN and Others

The Owners of Tove Eats Ltd are providing this formal update regarding our ongoing legal action in the Vanuatu Supreme Court against the Vanuatu Cooperative Business Network (VCBN), Kevin Kausiama, Craig Wakeford, Neat Meat, and Dynamic.

Trial and Claims Update:
Tove Eats Ltd has filed a claim for VUV 467 million in damages following significant commercial losses and operational interference. We are pleased to announce that after a period of rigorous preparation, this matter is officially heading to trial in the next few weeks.

Recently, legal counsel representing Neat Meat and Dynamic reached out to Tove Eats Ltd requesting that we consolidate our three claims. This request is currently under review by our legal team to ensure the most efficient path to justice and full recovery of losses.

Position of the Defendants:
We wish to clarify the current status of the parties involved:

The Vanuatu Government:
During the first conference, the Government requested to be removed as a defendant. However, the Court has not recognized this request, and the Government remains a defendant in the proceedings.

Defense Filings:
While several conferences have taken place, no party has yet filed a formal defense. We expect the defendants to present their case in court as the trial commences.

Business Continuity While these legal hurdles caused substantial delays to our initial plans, Tove Eats Ltd has now officially resumed full operations. By separating our procurement through our Australian offices and focusing our Vanuatu entity on specialized distribution, we have returned to the market stronger and more efficient than before.

Our legal team has commenced legal proceedings against several businesses and individuals, filing claims exceeding VT467 million in the courts of Vanuatu. The proceedings are ongoing, and the outcome will be determined by the courts.

Legal Conferences on August 28 to Address Tove Eats Vs The Vanuatu Government

As Tove Eats Ltd prepares for two court conferences on August 28, 2025, a third lawsuit has been filed, further escalating its legal battle against the Vanuatu Government and its associates. This new claim, which is awaiting a court date, alleges a breach of fiduciary duty by Craig Wakeford, with the Vanuatu Government named as a co-defendant.

The lawsuit claims that while working for Tove Eats Ltd, Mr. Wakeford knowingly diverted a substantial amount of stock to the Vanuatu Cooperative Business Network (VCBN). While Mr. Wakeford has denied these actions, sources say Tove Eats Ltd has compiled comprehensive documented proof detailing when and how the stock was moved from Tove Eats Ltd's to VCBN. The company is seeking a claim for damages, the amount of which will be determined by the court, as it is reportedly quite substantial.

This third case adds to the existing legal challenges against the government. The two court conferences on August 28 relate to:

A terminated lease agreement with VCBN, where Tove Eats Ltd is seeking over VT40 million in damages. The company alleges the termination was unlawful and had personal motives, directly refuting a prior public claim by the VCBN acting General Manager that no rent was received.

A separate claim of attempted theft of meat and property against Dynamic and Neat Meat, with the Vanuatu government also named as a co-defendant.

The three lawsuits together present a significant legal challenge for the Vanuatu government and its affiliated entities, with Tove Eats Ltd appearing determined to present extensive evidence in court to support its claims.

Notice to Our Valued Clients and Dedicated Staff: Update on Tove Eats Ltd Operations and Legal Proceedings
PORT VILA, VANUATU – July 11, 2025

Dear Valued Clients and Members of the Tove Eats Ltd Team,

We trust you're aware of the legal proceedings initiated by Tove Group Ltd / Tove Eats Ltd against the Vanuatu Government, its entity VCBN, and our former General Manager, Craig Wakeford. Despite these significant setbacks, we're pleased to announce that our operations in Port Vila and Luganville will soon resume to normal.

We're fortunate that we caught onto this situation early, which has, in a way, saved the company from even greater impact. We understand the challenges this period has presented.

To our dedicated staff who stuck with us through this challenging period, we sincerely apologize for not being able to fully explain the situation at the time. We are pleased to announce that Sia Mangawai has returned as General Manager, and we will continue building from where we left off.

We've been closely monitoring this situation with Craig Wakeford and VCBN General Manager, Mr. Kevin Kausiama, since day one. They will both now face the full force of justice. It has also come to our attention that some of our former staff have gained positions at VCBN. While the ongoing legal proceedings will specifically target the Vanuatu Government, VCBN, and the former General Manager's fiduciary duties in civil litigation, we want to be clear that the prosecution will extend to criminal charges later in the process. Furthermore, if there is a single hint that former staff members in any way colluded or cohorted with the former General Manager in these alleged plans, there will be a wider prosecution claim against them as well.

To all our clients whose orders are pending, particularly for our rice and chicken, these will be urgently addressed as we settle back in.

Despite the recent disruption, we assure all our clients that we will be back soon, reliably supplying your needs. Our commitment to you remains unwavering, and we're working tirelessly to ensure a smooth and stable return to full capacity.
