BID-A-KICK
SELLER TERMS & CONDITIONS
1. INTRODUCTION
These Seller Terms & Conditions ("Seller Terms") govern the relationship between Bid-a-Kick ("Bid-a-Kick", "we", "us" or "our") and any person or business that registers as, or applies to become, a seller on the Bid-a-Kick marketplace ("Seller", "you" or "your").
By registering as a Seller, submitting an item for sale, or participating in the Bid-a-Kick marketplace as a Seller, you agree to be legally bound by these Seller Terms, together with the Bid-a-Kick Privacy Policy and any other applicable marketplace rules.
You must read these Seller Terms carefully before using the platform.
2. ABOUT BID-A-KICK
Bid-a-Kick is an online sneaker marketplace and auction platform that allows approved Sellers to submit sneakers for auction to registered Buyers.
Bid-a-Kick provides the marketplace and auction technology but does not automatically become the owner of sneakers listed by Sellers.
Unless expressly stated otherwise, the contract for the sale of a sneaker is between the Seller and the successful Buyer.
Bid-a-Kick may administer the auction, facilitate payment, verify listings, assist with delivery arrangements and enforce marketplace rules.
3. SELLER ELIGIBILITY
To become a Seller, you must:
- Be at least 18 years old.
- Provide accurate and truthful personal information.
- Provide a valid South African identity document or other acceptable identification.
- Complete any required identity verification.
- Provide a valid mobile telephone number.
- Provide valid banking information for Seller payouts.
- Accept these Seller Terms.
- Comply with all applicable South African laws.
Bid-a-Kick may request additional verification before approving a Seller or listing.
4. SELLER VERIFICATION
Bid-a-Kick reserves the right to verify Sellers before allowing them to list sneakers.
Verification may include:
- Identity verification.
- Selfie or facial verification.
- Mobile-number verification.
- Bank-account verification.
- Address verification.
- Additional information reasonably required to prevent fraud.
A Seller must not create multiple accounts for the purpose of avoiding restrictions, manipulating auctions or misleading Buyers.
Bid-a-Kick may refuse, suspend or terminate a Seller account where verification cannot reasonably be completed.
5. SNEAKER ELIGIBILITY
Only sneakers that satisfy Bid-a-Kick's listing requirements may be submitted.
Unless otherwise approved by Bid-a-Kick, sneakers should generally be in a condition suitable for resale and accurately described.
Bid-a-Kick may reject sneakers that are:
- Counterfeit or suspected counterfeit.
- Stolen or unlawfully obtained.
- Damaged beyond the permitted condition standard.
- Missing important components.
- Materially different from the Seller's description.
- Unsafe or unsuitable for sale.
- Subject to a dispute regarding ownership.
- Otherwise prohibited by Bid-a-Kick.
6. AUTHENTICITY AND OWNERSHIP
The Seller represents and warrants that:
1. The Seller owns the sneaker or has the legal authority to sell it.
2. The sneaker is not stolen.
3. The sneaker is not counterfeit.
4. The Seller has not pledged, transferred or otherwise encumbered the sneaker in a way that prevents its sale.
5. All information supplied to Bid-a-Kick is accurate.
Bid-a-Kick may request photographs, proof of purchase, receipts, packaging information or other evidence reasonably required to assess authenticity or ownership.
Submitting a counterfeit sneaker may result in immediate account suspension or termination and may be reported to the appropriate authorities where required or considered necessary.
7. LISTING REQUIREMENTS
A Seller must provide accurate information about every sneaker submitted.
Listings may require:
- Brand.
- Model.
- Size.
- Colourway.
- Condition.
- Original or replacement packaging.
- Accessories.
- Defects or damage.
- Photographs.
- Starting bid.
- Auction duration.
- Any other information requested by Bid-a-Kick.
Photographs must accurately represent the sneaker being sold.
The Seller must not use photographs of a different sneaker to misrepresent the item being offered.
8. CONDITION GRADING
Where Bid-a-Kick uses a condition scale, the Seller must honestly select the applicable condition.
For example, Bid-a-Kick may permit sneakers graded 7/10 or 8/10, subject to its current listing rules.
A Seller must disclose material defects, including:
- Scuffs.
- Stains.
- Tears.
- Cracks.
- Sole damage.
- Discolouration.
- Missing accessories.
- Wear or restoration.
- Box damage.
Bid-a-Kick may change its accepted condition standards from time to time.
9. LISTING APPROVAL
Submitting a sneaker does not guarantee that it will be published.
Bid-a-Kick may manually review and approve listings before they become available for bidding.
Bid-a-Kick may reject a listing without publishing it where the sneaker does not meet marketplace requirements or where additional verification is required.
10. AUCTION RULES
Once an auction has started, the Seller must honour the auction in accordance with these Seller Terms.
The Seller may not:
- Cancel an auction simply because the final price is lower than expected.
- Manipulate bids.
- Create fake bidder accounts.
- Place bids on their own sneaker.
- Ask another person to place artificial bids.
- Interfere with another Seller's auction.
- Attempt to move a Buyer off-platform to avoid Bid-a-Kick fees.
- Misrepresent competing bids.
A Seller must not interfere with the integrity or fairness of any Bid-a-Kick auction.
11. WINNING BID
At the conclusion of an auction, the highest valid bid accepted by the Bid-a-Kick system will ordinarily determine the successful Buyer, subject to Bid-a-Kick's auction rules and any applicable legal requirements.
A Seller may not refuse to complete a valid sale merely because the final bid is lower than the Seller expected.
Where a Seller fails to complete a valid sale without an acceptable reason, Bid-a-Kick may take enforcement action against the Seller account.
12. SELLER COMMUNICATION WITH BUYERS
For security and fraud-prevention purposes, Sellers may not be permitted to directly communicate with Buyers through personal contact details.
Bid-a-Kick may act as the communication intermediary.
Sellers must not attempt to obtain or exchange a Buyer's private contact information for the purpose of completing transactions outside the Bid-a-Kick platform.
13. FEES AND COMMISSION
Bid-a-Kick may charge Sellers a commission on completed sales.
Unless otherwise displayed or agreed:
Bid-a-Kick Seller Commission: 10% of the successful sale price.
Bid-a-Kick may introduce additional fees where clearly disclosed to Sellers before they become payable.
Applicable fees may be deducted from the Seller's payout.
Bid-a-Kick will provide Sellers with appropriate transaction information showing applicable deductions.
14. PAYMENT TO SELLERS
Seller payouts will be made to the verified bank account provided by the Seller.
Bid-a-Kick may delay payment where:
- A transaction is under investigation.
- A Buyer has reported a material problem.
- Authentication or verification is incomplete.
- Fraud is suspected.
- The Seller has violated these Seller Terms.
- The sneaker has not been successfully delivered.
- Payment has been reversed, disputed or otherwise not securely settled.
Bid-a-Kick will not intentionally withhold legitimate Seller funds indefinitely and will process valid payouts in accordance with its applicable payout procedures.
15. SHIPPING AND DELIVERY
The Seller must package the sneaker securely and in a manner reasonably suitable for transportation.
Unless Bid-a-Kick specifies otherwise, the Seller is responsible for making the sneaker available for collection or dispatch within the required timeframe.
The Seller must:
- Package the correct sneaker.
- Use the required delivery method.
- Provide accurate dispatch information.
- Meet Bid-a-Kick's dispatch deadline.
- Preserve proof of dispatch where required.
Where Bid-a-Kick arranges or provides a courier process, the Seller must follow the applicable courier instructions.
16. WRONG, DAMAGED OR MISSING ITEMS
If a Seller sends:
- The wrong sneaker;
- A materially different sneaker;
- A counterfeit sneaker;
- A sneaker materially different from its listing;
- An incomplete order; or
- A damaged sneaker caused by inadequate packaging,
Bid-a-Kick may investigate and take appropriate action.
Possible consequences include cancellation of the transaction, withholding of payout, refund to the Buyer, recovery of applicable costs, suspension of the Seller account or termination of the Seller relationship.
17. COUNTERFEITS AND FRAUD
Bid-a-Kick operates a zero-tolerance approach to deliberate counterfeit sales and fraudulent activity.
A Seller must never knowingly submit counterfeit, stolen or fraudulently obtained sneakers.
Where reasonably necessary, Bid-a-Kick may:
- Suspend the listing.
- Freeze the transaction.
- Suspend the Seller account.
- Cancel the transaction.
- Withhold funds pending investigation.
- Request additional evidence.
- Cooperate with law-enforcement or other authorised bodies.
Nothing in these Terms prevents Bid-a-Kick from complying with its legal obligations.
18. PROHIBITED ITEMS
A Seller may not list or sell items that Bid-a-Kick prohibits.
Prohibited items may include:
- Counterfeit sneakers.
- Stolen goods.
- Fake or altered identification documents.
- Products that violate applicable law.
- Dangerous or unlawful goods.
- Goods that infringe another person's intellectual-property rights.
- Any item specifically prohibited by Bid-a-Kick.
Bid-a-Kick may update its prohibited-items policy.
19. INTELLECTUAL PROPERTY
The Seller must have the right to use photographs, descriptions and other material submitted to Bid-a-Kick.
By submitting listing content, the Seller grants Bid-a-Kick a non-exclusive licence to use that content for operating, marketing and promoting the marketplace.
The Seller remains responsible for ensuring that submitted content does not infringe third-party intellectual-property rights.
20. ACCURACY OF INFORMATION
The Seller must ensure that all information supplied to Bid-a-Kick remains accurate.
The Seller must promptly update information where there has been a material change to:
- Contact details.
- Banking information.
- Identity information.
- Ownership information.
- The condition or availability of a sneaker.
21. SELLER RESPONSIBILITY
The Seller is responsible for complying with applicable laws relating to the sale of the sneaker.
Nothing in these Seller Terms removes or limits rights or obligations that cannot lawfully be excluded or limited under South African law.
Bid-a-Kick will not permit contractual provisions that are intended to defeat mandatory consumer-protection requirements.
22. CONSUMER PROTECTION
Bid-a-Kick and its Sellers must operate in accordance with applicable South African consumer-protection legislation.
The Consumer Protection Act contains requirements concerning fair dealing, auctions, misleading representations and fair contractual terms.
Where an electronic transaction is involved, applicable requirements under the Electronic Communications and Transactions Act must also be considered, including disclosure, transaction review and applicable consumer rights.
Nothing in these Seller Terms is intended to unlawfully remove or restrict a consumer's statutory rights.
23. AUCTION COMPLIANCE
Because Bid-a-Kick operates an electronic auction marketplace, the platform may maintain appropriate records of auctions, registrations, bids, transactions and other required information.
South African regulations specifically provide for internet and electronic auctions and impose requirements concerning security and record keeping.
Sellers must cooperate with reasonable requests for information required to maintain auction integrity and legal compliance.
24. SELLER ACCOUNT SECURITY
The Seller is responsible for protecting login credentials and must immediately notify Bid-a-Kick if the Seller believes their account has been compromised.
A Seller must not share account credentials with another person.
The Seller is responsible for activity conducted through the Seller account unless the Seller can demonstrate that the activity resulted from unauthorised access that was properly reported.
25. SUSPENSION AND TERMINATION
Bid-a-Kick may suspend or terminate a Seller account where the Seller:
- Violates these Terms.
- Provides false information.
- Attempts fraud.
- Lists counterfeit goods.
- Manipulates auctions.
- Fails to fulfil completed sales.
- Repeatedly sends inaccurate or defective goods.
- Attempts to circumvent Bid-a-Kick fees.
- Engages in abusive behaviour.
- Violates applicable law.
Where appropriate, Bid-a-Kick may provide the Seller with an opportunity to explain or resolve the issue.
Serious fraud, counterfeit activity, theft or other unlawful conduct may result in immediate suspension or termination.
26. SELLER DISPUTES
If a dispute arises concerning a transaction, Bid-a-Kick may request evidence from the Seller and Buyer.
Evidence may include:
- Photographs.
- Videos.
- Proof of purchase.
- Courier records.
- Tracking information.
- Messages.
- Payment records.
- Other relevant documentation.
Bid-a-Kick may temporarily hold a payout while a legitimate dispute or investigation is being resolved.
27. LIMITATION OF LIABILITY
To the extent permitted by applicable law, Bid-a-Kick will not be responsible for losses caused by circumstances outside its reasonable control, including network failures, payment-provider failures, courier disruptions, cyber incidents, natural disasters or other events beyond reasonable control.
Nothing in these Terms excludes liability that cannot lawfully be excluded under South African law.
28. PRIVACY AND PERSONAL INFORMATION
Bid-a-Kick may collect and process Seller information for purposes including:
- Account creation.
- Identity verification.
- Fraud prevention.
- Payment processing.
- Customer support.
- Auction administration.
- Legal and regulatory compliance.
Personal information will be handled in accordance with Bid-a-Kick's applicable Privacy Policy and South African data-protection requirements.
29. CHANGES TO THESE TERMS
Bid-a-Kick may update these Seller Terms from time to time.
Material changes will be communicated through appropriate channels where required.
The latest version will apply to future transactions and platform activity after the effective date stated in the updated Terms.
30. GOVERNING LAW
These Seller Terms are governed by the laws of the Republic of South Africa.
Any dispute will be dealt with through the appropriate legal or dispute-resolution process available under applicable South African law.
31. ACCEPTANCE
By registering as a Bid-a-Kick Seller, submitting a sneaker for approval, or continuing to use Seller functionality after these Terms become effective, you confirm that:
- You have read these Seller Terms.
- You understand them.
- You agree to comply with them.
- You confirm that the information you provide is accurate.
- You understand that violations may result in suspension or termination of your Seller account.
