A coach rang me about month four of a six month container.

Her client had stopped showing up. Stopped replying. Then stopped paying. The coaching had been good, the client had said so in writing more than once, she had just lost interest around the point where the novelty wears off and the work starts.

The coach wanted to know if she could chase the rest of the money.

Her contract said six months, payable monthly. What it did not say was whether the fee was for attending, or for the place in the programme.

That is the clause coaches leave out, and it decides the entire argument. If the client is buying your time, no attendance starts to look like no service. If the client is buying a place in a programme of a fixed term, the obligation to pay runs whether they turn up or not.

Same money. Completely different conversation.

Seven mistakes, and not one of them is dramatic.

Nobody gets into trouble the way it happens in films. There is no letter of demand arriving by courier. It is a client who goes quiet on an invoice, a supplier using your photos on their own site, a customer in month five reading your terms far more carefully than you ever did.

The seven in this reel are the ones I see most. They are ordinary, they are fixable, and every one of them is cheaper to sort now than to argue about later.

The seventh is the expensive one. Waiting until something goes wrong is the only mistake on this list that removes your options entirely.

The moment always arrives the same way.

A client says, quite reasonably, that they thought the revisions were unlimited. Or that they were waiting on the invoice. Or that they assumed the files came with the full licence.

And you open the contract to check.

That is the moment you find out whether you have a contract or a document. Because a contract answers the question. A document just sits there being formal.

Most of the ones I see came off the internet in a hurry, in a week where getting the client mattered more than getting the paperwork right, which is a reasonable trade at the time. The problem is that nobody goes back.

The things that go missing are always the same four. A payment date you can point at. A scope that says what a revision is. Something that covers the client going quiet. And Australian law, if the template came from a US site.

You spent real money on the branding. The document that protects the work it brings in deserves the same attention.

There is a sentence I have said more times than any other in seven years.

Registering your business name is not the same as owning your brand.

It lands badly every time, because people have done the thing they were told to do. They went to ASIC, they paid, they got the certificate, they filed it in the folder with the ABN. It felt like the box was ticked.

What that registration actually does is narrow. It lets you trade under the name. It does not stop anybody else using it, it does not stop anybody else registering it as a trade mark, and it does not give you anything to point at when someone does.

The domain does not fix it either. A domain is a rental.

This is a higher risk gap than most people think, and the reason is timing. You do not find out on a quiet Tuesday. You find out when someone launches with your name, has a bigger audience than you, and you have nothing that says the name is yours.

The lower risk version is not complicated. Check the register before you build the brand. Register the mark once the name starts earning.

Foundd Legal is seven today.

It started on a kitchen bench in September 2019, in the lunch breaks of a full time job, with two kids who had football twice a week and no idea their mum was building something.

Seven years later there are templates sitting in businesses all over the country. Trade marks filed. And a number of people who have told me they finally sent a contract to a client without apologising for it first.

That was the job the whole time. I could not see it from the kitchen bench.

Seven years in, the mistakes have stopped surprising me.

It is almost never the dramatic thing. Not the lawsuit, not the copycat, not the dispute that ends up in front of someone in a wig. It is a contract that never said when the money was due. A privacy policy copied off a site in a different country. A brand name someone fell in love with before they checked whether anyone else already owned it.

None of that is carelessness. It is what happens when you are building the thing and the legal part feels like something you will get to once the business is real enough to deserve it.

The business was always real enough.

Seven years ago I was working off a kitchen bench that was never meant to be a desk.

I gave myself a bad back that year. I was taking Foundd calls in my lunch break from a full time job, then working on the business after the kids went to bed. They were eight and ten. There was football twice a week, dance classes, and a side hustle I picked and packed before work.

Six months in, COVID hit. Everything stopped, then everything moved online at once. A lot of people started building businesses from their own kitchen benches, taking money from strangers on the internet, quietly hoping nobody would ask them for a contract.

Which was the exact thing I had just started making.

Here is the part I did not expect. I was exhausted, and I was happier than I had been in years. On paper the side hustle and Foundd looked identical. Same hours, same tiredness, same kitchen. The difference was that one of them was mine, and every bad decision in it was mine too.

I'm in Bali this week. Third year running, and no, it's not a holiday. 🌴

It's a retreat. A week spent working on the business instead of in it, which in my experience is the only way that ever actually happens. Nobody does their strategic thinking between two client calls on a Tuesday.

And every year I arrive with the same thing in my bag. A list of everything I've been putting off.

Here's the bit I find hard to explain. I'm not disorganised. I'm the person with a playbook for the playbooks. Systems, templates, processes, all documented properly.

The problem was never the system. It's how many things I've got running through it at once.

It's never the client work, for the record. That gets done, every time. It's the admin. The systems, the tidy-ups, the processes I'm three quarters of the way through. The things that would genuinely move the needle and have never once managed to feel urgent enough to beat a client deadline.

That's the trap. Urgent always wins, and the tasks that don't hold your attention are the ones that quietly compound while you're not looking.

So the week isn't for starting anything. It's for closing loops. Finishing the things that are eighty percent done and worth considerably more finished than started.

Which, now I write it down, is exactly what I see in every clinic I audit. Nobody's being reckless. There's just too much going at once, and compliance was never the loudest thing on the list.
